Collaboration Terms Between Kvcodes Software Solutions and Our Partners

Parties Involved

• Kvcodes Software Solutions: A company based at 3E, Abinaya Homes, Karur, Tamil Nadu, India - 639002, incorporated under the Companies Act, 2013 ("Software Provider").
• Your registered business at [Your Address] ("Reseller").

What This Agreement Covers
This MoU outlines how we, Kvcodes Software Solutions, team up with our partners to market, distribute, and support our Cloud ERP Software globally, while staying compliant with Indian laws.

Key Terms

1. Our Partnership
   • We appoint you as a non-exclusive distributor to promote and sell our Cloud ERP Software anywhere in the world.
   • You can resell it under your brand or a co-branded name we agree on.
2. Your Rights
   • Sell subscriptions or licenses to customers.
   • Offer setup, training, and first-level support.
   • Use our marketing materials to boost sales.
   • Note: You can’t modify or own our software’s source code, and customers must follow our End User License Agreement (EULA).
3. What We’ll Do
   • Provide you with software access, licenses, and technical support.
   • Train your team initially (within 30 days) and share updates or patches regularly.
   • Offer second-level support for tricky issues you escalate to us.
4. Your Responsibilities
   • Actively market and sell the software.
   • Handle customer support and ensure they accept our EULA and Privacy Policy.
   • Pay us monthly or yearly subscription fees for each license sold.
5. Payment Details
   • You buy licenses at a wholesale rate (we’ll agree on this separately).
   • You set the customer price, with a minimum we both approve.
   • Payments are due within 15-30 days of our invoice, plus GST if applicable.
6. Data & Compliance
   • You’ll follow Indian laws like the IT Act, 2000, and Digital Personal Data Protection Act, 2023, to keep customer data safe.
   • We own all intellectual property rights to the software.
7. Confidentiality
   • We both agree to keep business plans, pricing, and tech details private.
8. Duration & Ending the Partnership
   • This starts with a 2-year term, renewable if we both agree.
   • Either of us can end it with 30 days’ notice if the other breaks the rules, or 60 days’ notice otherwise.
   • If it ends, you’ll stop selling and hand over active customers to us.
9. Legal Stuff
• Indian laws apply, and any disputes will be settled through arbitration in Karur, Tamil Nadu.
